Service agreement

1. Parties to the Agreement
This Service agreement (“Agreement”) is made between the following Parties:

  1. Marketplace Provider: [Vesianttila Oy, Business ID 2607226-4, Hallitie 13, 96320 Rovaniemi]
  2. Lessor: [Company name, Business ID, contact details]

2. Purpose of the Agreement
The purpose of this Agreement is to define the terms, rights and obligations under which the Marketplace provider of www.varaakelkka.fi and the Lessor operate the snowmobile rental service, where the marketplace provider connects lessors and renters.

3. Definitions

  • Marketplace: The online service that connects snowmobile renters and lessors. In this case, the www.varaakelkka.fi website.
  • Lessor: A company or entity with a Business ID offering snowmobiles for rent on the marketplace.
  • Renter: A physical person or an entity which/who rents a snowmobile through the Services available(s) on the Marketplace.
  • Commission: The fee charged by the Marketplace Provider for each completed rental.

4. Responsibilities and Obligations of the Parties

4.1 Marketplace Provider’s Obligations:

  • Provides the Lessor access to the marketplace.
  • Supports the Lessor in using the platform, including technical support and training when necessary.
  • Verifies Renters registered on the platform and, when possible, check the Renter’s identity and driving license. Checking the driving license is also the Lessor’s responsibility at the time of rental.
  • Manages payments together with ipayment services providers  related to rental transactions.
  • Markets the marketplace and acquire new Renters through the platform.

4.2 Lessor’s Obligations

  • Keeps registration information, payment details, and rental snowmobiles up to date on the marketplace.
  • Ensures that the snowmobiles for rent are legal, insured, and safe to use.
  • Provides accurate information about the snowmobiles, their condition, and maintain the booking calendar on the Marketplace.
  • Ensures snowmobiles are in good condition and serviced as needed before rental.
  • Acts responsibly during rental transactions, including providing necessary usage and safety instructions to the Renter.
  • Ensures the Renter meets the necessary conditions for using the snowmobile (e.g., valid driving license).

5. Payment Terms, Commission, and Service Fees

  • The Marketplace Provider reserves the right to charge a commission on each completed rental transaction.
  • The Marketplace Providers’ Commission rate is 30% of the completed rental amount.
  • The Marketplace Provider may change the amount of the Commission by notifying the Lessor at least 30 days in advance.
  • Marketplace Providers’ payment service provider Paytrail charges fees for each payment transaction. These fees are deducted from the amount paid to the Lessor before settlement. Fees are detailed below:
    • Bank payments: €0.55 each
    • Card payments: €0.55 + 2% (Amex €0.55 + 3%) each
    • Mobile payments: €0.55 + 2% (Apple Pay €0.55 + 3%) each
    • Consumer invoices and installments: €0.55 + 2% each
    • Payment refunds: €0.50 each
  • The total rental amount is invoiced from the Renter through the marketplace, and rental amounts minus commission and payment transaction fees are paid to the Lessor generally once a week (the Lessor can change the frequency of settlements in their Paytrail control panel).
  • Example of a fee and Commission calculation:
    • The Lessor lists a snowmobile for rent at €300/day. The Renter rents it for one (1) day and pays by credit card. The Renter is charged €300. The payment transaction fee is €0.55 + 2% of the amount, i.e., €6.55. The Marketplace Provider’s commission is 30%, i.e., €90. The Lessor is paid €203.45 in this example.
  • Example prices include (FIN) VAT at 25.5%.
  • Paytrail’s service fee is €9.90 (VAT 0%) per month per Lessor/merchant. This service fee is charged from the Lessor after their first rental transaction. Until the first rental, Vesianttila Oy covers the monthly Service fee.

6. Cancellations and Refunds

  • Cancellations are governed by the cancellation policy defined on the Marketplace (see Marketplace Provider’s Services’ ToU).
  • The Lessor may specify their own cancellation policy for each listing, which must be clearly presented in the snowmobile listing.
  • The Lessor agrees to refund amounts due to the Renter from cancellations and accepts that any compensations to the Renter are handled through the marketplace.
  • If the Renter cancels at the last moment or has an acceptable reason for a refund, the marketplace provider may charge the Lessor the costs related to the cancellation.

7. Insurance and Liability

  • The Lessor is responsible for ensuring that the rented snowmobiles have valid insurance covering rental activities and possible damages.
  • The Lessor is liable for any damages caused to the Renter during the rental period by the rented snowmobile or related equipment.
  • The Marketplace Provider is not liable in any way for the products or services offered by the Lessor or their validity or other commitments.
  • The Marketplace Provider is not responsible for contractual matters between the Lessor and the Renter except for settling the rental fees collected through the Marketplace according to this Agreement.
  • The Marketplace Provider has no ability or obligation to control the quality of Services provided through the marketplace or to ensure proper execution of agreed Services.
  • The Marketplace Provider is not responsible for any taxes or reporting obligations related to the Lessor’s activities.
  • The Marketplace Provider’s liability is always limited to the amount of the Service fee collected from the relevant rental transaction.
  • Under no circumstances shall the marketplace provider be liable for indirect damages incurred by the Lessor or the Renter.

8. Privacy and Data Protection (GDPR)

  • The Marketplace Provider commits to complying with applicable data protection laws and regulations (such as GDPR) and processing the Lessor’s and Renter’s personal data lawfully.
  • The Lessor shall process the Renter’s data only to the extent necessary for carrying out the rental transaction and fully comply with applicable Finnish public order legislation.

9. Term and Termination

  • This Agreement is valid until further notice.
  • Either party may terminate the Agreement by written notice with 30 days’ notice period.
  • The Marketplace Provider has the right to terminate the Agreement immediately if the Lessor materially breaches the terms of this Agreement or the before said ToU.

10. Amendments to the Agreement

  • The marketplace provider may amend the terms of this Agreement by notifying the Lessor at least 30 days in advance.
  • The Lessor is deemed to have accepted the amendments if they continue using the Service after notification.

11. Governing Law and Dispute Resolution

  • This Agreement shall be interpreted and governed by Finnish law.
  • Disputes not resolved through negotiation shall primarily be resolved through mediation. If mediation fails, disputes shall be handled by the District Court of the Lessor’s domicile (Rovaniemi).
